| 内容記述 | 英国会社法は,大会社に対する要求を中心として規定されているが,これらの規定の中には,小会社にとっては不適切または過剰負担となるものが数多くある。現代会社法の最終報告書において,小会社が合理的な経営を行うために,書面決議や取締役の権限,秘書役の選任,紛争の解決等に関して簡素化することが勧告されている。 | |||||

| 内容記述 | The Act is prescribed around the demand for the larger, public-owned companies. But, it is inappropriate or excessive burden for the small and private companies in these regulations. It is reccommended something in the final report of the modern company law. It recommend on simplifying it about written resolution, the directors' authority, requirement for a company secretary, conflicts of interest, so that a small company can do rational management. | |||||
